Your state laws should give you some guidance on this. For instance, in Florida, Section 617.0808 of the Florida Not For Profit Corporation Act should help. Your governing documents — specifically your bylaws — should also tell you how to remove board directors and elect new ones. You might need to call a special meeting for this special election.
