What to Do When HOA Board Members All Resign

Question:

Our president resigned and all the board members. Now we don’t know what to do. I told the board members you volunteered and was voted in, therefore, until your replaced your resignation doesn’t mean anything and you’re still acting President. Due to this no annual meetings are called and I don’t know where to go from here as a homeowner

Hi Joshua,

If your association is organized as a nonprofit, you may find guidance under Section 12:224(E)(3) of the Louisiana Nonprofit Corporation Law, which states:

“The remaining directors, even though not constituting a quorum, may, by a majority vote, fill any vacancy on the board (including any vacancy resulting from an increase in the authorized number of directors, or from failure of the members to elect the full number of authorized directors) for an unexpired term, provided that the members shall have the right to fill the vacancy at any special meeting called for the purpose prior to such action by the board.”
