Quorum of the Board

What constitutes a quorum?

Our bylaws state: “a majority of the directors present”. When all positions are filled we have nine (9) board members. At one meeting only four (4) directors were present. We had four (4) vacancies with another board member suspended.

Since the bylaws state a majority of the directors, this may mean 5 out of the 9 members. In this case, you may not have reached a quorum with only 4 members present. For further guidance, kindly consult a lawyer.
