Question:
If I were on a board and saw that members weren’t informed of a situation that was costing them money, and made it known to the members publicly, can the rest of the board vote me off when they were the ones being accused of lying and misusing funds for a lawsuit? Our by laws state that by a concurrence of board members opinion, they can vote off the trustee board member for malfeasance. How can they vote themselves innocent of the accusations, and also, with no members allowed to question the decision?

Answer:
Hi Marianne,
Unfortunately, your board can vote you out as per your bylaws, though it depends on how your bylaws require malfeasance to be proved (if at all). If you suspect your fellow board members have been committing fraud, you may want to report them to law enforcement. You may also want to check your bylaws for guidance on how the membership at large can remove board members from their positions.
